Paramount Skydance and Warner Bros. Discovery closed their 110 billion dollar merger on Tuesday, Yahoo Finance reported, after Supreme Court Justice Elena Kagan denied a last-minute effort to halt the deal. The combined company will be known as Skydance.

The Wrap said the transaction followed a bidding contest with Netflix and a legal fight involving 12 state attorneys general and the Writers Guild of America. It said clearances came from Warner Bros. shareholders and regulators in 68 jurisdictions, including the US Justice Department, the Federal Communications Commission, the European Commission and the UK Competition and Markets Authority.

Judge Araceli Martinez-Olguin approved a settlement with a dozen state attorneys general that includes a commitment to invest 1.5 billion dollars in domestic film and television production over five years and to release at least 30 films a year in theatres, The Wrap reported.

David Ellison will be co-chief executive with Ynon Kreiz, the former Mattel chairman and chief executive, The Verge and Yahoo Finance reported. Ellison said the aim was to combine the studios into a stronger competitor. HBO's Casey Bloys will be chief content officer, and CBS Sports chief David Berson will lead combined sports operations, Yahoo Finance said.

The portfolio includes Paramount+, Pluto TV, HBO Max and Discovery+, plus networks including CBS, CNN, HBO, MTV and Nickelodeon, according to the reports. Warner Bros. Discovery chief executive David Zaslav's exit package was put at roughly 886.8 million dollars by Yahoo Finance.
