Schneider Electric said on Monday it has agreed to buy industrial software company PTC in an all-cash deal at $205 a share, valuing PTC's equity at about $22.6 billion. Reuters reported the French company expects the transaction to close by the third quarter of 2027.
Bloomberg described the purchase as Schneider's largest acquisition and said it is aimed at industrial software tied to the artificial-intelligence buildout. PTC is based in Boston.
Schneider said the offer was a premium of more than 40 percent to PTC's last closing price, Bloomberg reported. The initial wire accounts did not publish a full regulatory timetable beyond the expected 2027 closing window.
The deal adds product-lifecycle and engineering software to Schneider's electrification and automation business. Closing remains subject to customary conditions; neither Reuters nor Bloomberg reported that approvals had already been granted.
Schneider is listed in Paris and PTC trades in the United States. Further financial terms beyond the per-share price and equity value were not set out in the early reports.
